It’s an exciting time to work at AIG, one of the world’s leading insurance organizations. We are seeking Sr. Tax Counsel to join our Global Tax Advisory team in NYC.
You will support the AIG Head of Global Tax Advisory - U.S. (Corporate & Consumer) and provide the technical tax advice and supervision of the U.S. Federal tax aspects of transactions and tax planning for the Investment, Asset and Capital Management businesses and functions. You will serve as a senior member and leader in the AIG tax legal group, and should be able to function effectively with minimal oversight. You will be expected to act with initiative and identify needs, risks and opportunities to bring additional value to AIG. Plus, responsible for developing close links to the business served and be able to develop client relationships and become a trusted advisor to other senior AIG personnel.
Specific responsibilities will include:
General Tax Planning – Supervise, review, or perform research, analysis and implementation of potential tax planning opportunities to minimize direct and indirect taxes, largely in the context of insurance companies. Analysis includes extensive work with team that model tax outcomes of various strategies. Deliverables include memos/opinions and presentation materials
Capital Markets and Financial Products Tax Planning - Supervise, review, or perform research, analysis and implementation of potential corporate capital restructurings; and transactions to manage interest, market, credit, currency risk. Prepare/review memos, presentation materials, or formal written advice
Restructuring - Analyze restructuring transactions to assess the most tax efficient means of achieving target structures, as well as identifying any potential tax planning opportunities. Assist with materials to submit to regulators. Prepare/review memos, presentation materials, or formal written advice
Audit Defense Preparation – Prepare, review, and maintain adequate documentation of all transactions in preparation for future audit. Coordinate inclusion of U.S. GAAP, Local GAAP, US STAT, Local STAT and as well as Tax Sharing Agreement implications
Coordination with Tax Reporting Group - Ensure complete communication of restructuring and planning projects to Tax Reporting Group to enable accurate and timely reporting in U.S. GAAP financial statements, Statutory Financials and tax returns
Coordination with Indirect Taxes - Spot issues that may have an indirect tax implication and obtain advice to minimize indirect taxes from Indirect Tax Group
Coordinate with Transfer Pricing - Identify transfer pricing issues/opportunities and work with Transfer Pricing Group to adhere to global policies and ensure compliance with applicable transfer pricing regulations
Lead Tax Counsel - Serve as reviewer and mentor for several junior tax lawyers and other tax staff
